01Definitions
For these Terms:
“Customer” means a person using BigPlan to interact with a Merchant, participate in an eligible experience, submit or publish content, receive rewards, accumulate BigPlan progression, or use related consumer features.
“Merchant” means a business, organisation, outlet, owner, authorised employee or representative using BigPlan for customer engagement, rewards, CRM, creator campaigns, subscriptions, credits, analytics or related commercial purposes.
“Creator” means an independent content creator using BigPlan to maintain a creator profile, discover or enter Campaigns, submit deliverables, receive payments or use creator tools. References to KOC or KOL describe creator categories only and do not create a separate legal status.
“Campaign” means a commercial collaboration between a Merchant and Creator recorded through BigPlan.
“Campaign Contract Snapshot” means the immutable or auditable transaction record confirming the Campaign-specific commercial terms accepted by the Merchant and Creator, including the agreed deliverables, price, deadlines, platforms, revision limits, content rights, fees and other transaction-specific terms.
“Contribution” means eligible Customer content, feedback, social activity or other participation submitted or verified through BigPlan.
“Payment Provider” means a third-party payment, settlement, payout, KYC or financial-services provider selected by BigPlan, which may include Xendit or another provider.
“Platform Fee” means the amount charged by BigPlan for facilitating or operating a transaction or service.
“BigPlan Credits”, “Service Credits”, “XP”, “Points”, “Stamps” and “Rewards” mean the applicable non-cash platform or Merchant entitlements described on the Platform.
02Eligibility and authority
You must be at least 18 years old to create a BigPlan account, enter a paid Campaign, control a Merchant account, receive Creator payouts or enter into any other legally binding transaction through the Platform.
If you use BigPlan on behalf of a company, partnership, organisation or Merchant, you represent that you have authority to bind that entity. The entity is responsible for activity performed by its authorised users.
You must provide accurate, current and complete information. BigPlan may require identity, business, social-account, authority, KYC, bank-account or other verification before enabling sensitive functionality.
BigPlan may refuse, limit or revoke access where verification cannot be completed or where applicable law, platform policy, fraud controls or Payment Provider requirements require it.
03Accounts and security
You are responsible for your account credentials, authorised users and activities performed through your account.
You must not share authentication credentials with unauthorised persons, impersonate another person or business, circumvent verification, create misleading duplicate identities or interfere with security controls.
BigPlan may require multi-factor authentication, session re-verification or additional evidence for financial, administrative or sensitive operations.
You must notify BigPlan promptly if you reasonably believe your account has been compromised.
04BigPlan's role
BigPlan provides technology and marketplace infrastructure connecting Customers, Merchants and Creators.
Except where BigPlan expressly states otherwise, BigPlan is not the manufacturer, seller or provider of a Merchant's underlying goods or services and is not the employer, agent or representative of a Creator.
Creators operate as independent parties. Merchants remain responsible for their businesses, offers, products, customer service, representations and legal obligations.
BigPlan does not guarantee sales, audience growth, views, engagement, conversion, revenue, creator performance, campaign performance, search ranking, social-platform availability or any particular commercial outcome.
Nothing in these Terms excludes duties or rights that cannot lawfully be excluded under Malaysian law.
05Merchant obligations
A Merchant must maintain accurate information concerning its identity, business, locations, contact details, products or services, prices, payment methods, material conditions and other disclosures required by the Platform or applicable law.
Merchant representatives must not submit false business information, misleading promotions, unlawful claims or offers that the Merchant cannot honour.
Merchant-funded Customer rewards remain the responsibility of the Merchant. A Creator Code or other attribution mechanism does not give a Creator authority to determine the Merchant's discount or reward unless the Platform expressly allows it.
A Merchant is responsible for fulfilment of its underlying products, services and Merchant-funded rewards.
Where Malaysian electronic-trade rules require marketplace supplier information to be disclosed, the Merchant authorises BigPlan to display or provide the required information.
06Customer Contributions and rewards
BigPlan may permit Customers to participate in eligible activities and receive Merchant rewards, XP, Points, Stamps or other benefits.
Eligibility may depend on factors including location, Merchant, Campaign, Contribution type, frequency, verification status, timing and anti-fraud rules.
A reward is not payment for a favourable opinion. BigPlan does not require a positive review, minimum rating or predetermined sentiment as a condition of earning an eligible reward.
BigPlan may disable reward routes involving third-party review or social platforms where incentives are prohibited or where the relevant platform's policies do not permit the proposed activity.
BigPlan may verify eligible Contributions through authorised APIs, public information, submitted evidence or other disclosed verification mechanisms. Where a Contribution must remain publicly available for a specified monitoring period, deletion, privacy changes, fraud, duplication or non-compliance during that period may result in reversal of the associated reward or progression.
BigPlan may reverse fraudulently obtained or incorrectly issued XP, Points, Stamps, Credits, Coupons, Rewards or other ledger entries. Historical records may be retained for audit rather than silently deleted.
07BigPlan progression, rewards and credits
Unless expressly stated otherwise, XP, Points, Stamps, Coupons, Service Credits and similar BigPlan entitlements:
- are not cash, bank deposits, electronic money, securities or investment products;
- have no cash-redemption value;
- cannot be transferred, sold or exchanged outside the permitted Platform mechanism;
- may be subject to eligibility, validity, expiry, usage and stacking rules disclosed when they are issued or purchased; and
- may be cancelled or reversed where obtained through fraud, mistake, abuse, refund or cancellation.
Terms applying specifically to purchased Service Credits, including validity, refundability, cancellation treatment and permitted uses, will be disclosed before purchase and form part of the applicable order.
08Merchant subscriptions and paid platform services
Where BigPlan offers subscriptions, usage plans or recurring services, the applicable price, billing frequency, included usage and material restrictions will be displayed before purchase.
Where recurring billing is enabled, the Merchant authorises the Payment Provider to collect recurring amounts until cancellation takes effect.
Cancellation stops future renewals in accordance with the cancellation terms displayed at purchase. Cancellation does not ordinarily reverse services already supplied or Credits already consumed, subject to applicable law.
Applicable taxes, including SST where required, may be added or displayed separately.
09Creator eligibility
A Creator participating in paid Campaigns must satisfy BigPlan's current verification requirements, which may include:
- being at least 18 years old;
- completing identity/KYC verification;
- verifying an eligible bank or payout destination;
- demonstrating ownership or authorised control of connected social accounts;
- meeting applicable Creator qualification thresholds; and
- providing accurate profile, portfolio, performance and rate information.
BigPlan may re-verify Creator identity, payout details or social-account ownership where reasonably necessary.
A Creator must not manipulate audience statistics, engagement, reputation, campaign evidence or verified performance.
10Campaign formation
A Campaign becomes binding when the Merchant and Creator confirm the Campaign through the mechanism provided by BigPlan.
Before confirmation, BigPlan will record the material Campaign terms in a Campaign Contract Snapshot.
The Snapshot may include the parties, Campaign price, Platform Fees, provider charges, deliverables, content formats, social channels, deadlines, review periods, revision limits, publication obligations, disclosure obligations, usage rights and other material terms.
Once confirmed, neither party may unilaterally rewrite the Campaign terms through private messages or external communications.
Where a Campaign Contract Snapshot conflicts with these Terms concerning a Campaign-specific variable, the Campaign Contract Snapshot governs that variable. These Terms continue to govern the relationship generally.
11Fees
Unless a different rate is expressly displayed and accepted before the relevant transaction, BigPlan's current Creator Marketplace commercial model may include:
Merchant: Campaign principal plus a 3% BigPlan Platform Fee, together with applicable Payment Provider charges and taxes.
Creator: a 1.5% BigPlan Creator service/payout deduction from amounts payable to the Creator.
Any different or future rate must be displayed before the affected transaction and applies prospectively.
Payment Provider fees are governed by the applicable provider rules and may be non-refundable even where other amounts are refunded.
12Payments and Settlement Hold
Campaign funds may be collected, processed, safeguarded, transferred or paid out by a third-party Payment Provider.
BigPlan may represent Campaign funds using statuses such as pending, reserved, protected, held, ready for release, released, paid, refunded or reversed.
The term “Settlement Hold” describes BigPlan's contractual and operational state for preventing release until applicable Campaign conditions are satisfied.
A Settlement Hold is not a representation that BigPlan operates a licensed escrow service, statutory trust, bank deposit or separately regulated escrow arrangement. Actual custody and movement of funds may be performed by the Payment Provider.
BigPlan may delay or block settlement where reasonably necessary for fraud, identity verification, chargebacks, sanctions, provider requirements, disputes, technical incidents, court orders, regulatory obligations or suspected Terms violations.
13Campaign submission, review and acceptance
After a Creator makes a qualifying submission, the Merchant has three days to accept the submission or request a permitted revision.
Each qualifying resubmission starts a new three-day review period.
Unless the Campaign Contract Snapshot provides otherwise, a Campaign permits a maximum of three revision or rejection cycles.
If the Merchant does not act within the applicable review period, the submission may be automatically accepted.
If the Merchant rejects the third qualifying submission, the Campaign enters BigPlan's dispute process rather than continuing indefinitely.
BigPlan may modify these mechanics where required by law, a Payment Provider or fraud/security controls.
14Creator Deposit Entitlement
After the Creator's first qualifying Campaign submission, the Creator obtains a contractual entitlement equal to 20% of the Campaign principal (“Deposit Entitlement”), subject to these Terms, fraud review and the dispute rules below.
The Deposit Entitlement does not constitute a separate bank deposit or escrow account.
Except where a Campaign is resolved under the applicable cancellation or dispute rules, Campaign principal is released to the Creator after completion rather than through routine milestone payments.
15Campaign cancellation, disputes and appeals
BigPlan may determine Campaign disputes using the Campaign Snapshot, communications, submissions, timestamps, Platform records and other relevant evidence.
BigPlan acts as a platform decision-maker for the purpose of determining Platform settlement, refund and reputation consequences. BigPlan is not a court or arbitral tribunal.
If BigPlan determines that the Merchant is responsible for the failed Campaign after the Creator has earned the Deposit Entitlement, the Merchant may receive the Campaign principal excluding the 20% Deposit Entitlement, the Creator remains entitled to the applicable 20% less the applicable Creator deduction, and BigPlan may retain the Platform Fee. Payment Provider charges are handled according to the provider's actual rules.
If BigPlan determines that the Creator is responsible, including qualifying abandonment or unjustified disappearance, the Merchant may receive the Campaign principal and BigPlan Platform Fee back, subject to applicable law and Payment Provider rules. The Creator does not receive the Deposit Entitlement and relevant reputation consequences may apply.
Fraud, illegality, chargebacks, provider restrictions or regulatory requirements may require a different outcome.
Each party receives one Platform appeal against a Campaign dispute determination. Settlement remains on hold while a timely appeal is being determined.
BigPlan's final Platform determination controls Platform fund movement and account consequences but does not eliminate any non-waivable legal remedy available to a party.
16Ratings and reputation
Merchant and Creator ratings may be hidden until both parties have completed the relevant transaction or the applicable rating window expires.
Verified performance, on-time performance, completed transactions and other platform-generated reputation signals may not be edited by the rated party.
Paid subscriptions, Credits, boosts or advertising do not purchase or guarantee favourable reputation.
BigPlan may remove, suppress or investigate fraudulent, retaliatory, abusive or manipulated ratings.
17Creator advertising disclosures
Creators and Merchants are responsible for complying with applicable advertising, endorsement, consumer-protection and social-platform disclosure requirements.
Commercial arrangements must be clearly disclosed where required.
A Creator must not disguise sponsored content as an independent unpaid recommendation where disclosure is legally or contractually required.
BigPlan may require Campaign-specific disclosure wording or proof of disclosure.
18User content and intellectual property
You retain ownership of content you lawfully own.
By uploading, submitting or connecting content to BigPlan, you grant BigPlan a non-exclusive, worldwide, royalty-free licence for the period reasonably necessary to host, store, reproduce, process, analyse, resize, moderate, verify, transmit and display the content for the purpose of operating, securing and administering BigPlan and the relevant transaction.
This operational licence does not automatically give a Merchant paid advertising rights over Creator or Customer content.
You represent that you have the rights necessary to provide content to BigPlan and that the content does not infringe another person's copyright, trade mark, privacy, publicity, music, image or other rights.
19Creator content reuse
Campaign approval does not equal marketing reuse permission.
A Merchant's acceptance of a Creator deliverable confirms completion of the Campaign deliverable. It does not automatically transfer ownership of that content or grant unlimited advertising rights.
Organic reposting, editing, paid advertising, whitelisting, extended usage or other reuse must be expressly included in the Campaign Contract Snapshot or separately agreed through a BigPlan rights mechanism.
Usage rights may be limited by channel, territory, purpose and duration.
After the applicable rights period expires, the Merchant may retain historical Campaign records but may not commence new use outside the agreed rights.
This reflects BigPlan's existing product rule that approval and reuse are separate permissions.
20Customer content reuse
Submission or verification of a Customer Contribution does not by itself grant a Merchant unrestricted advertising rights.
BigPlan may process a Contribution as reasonably necessary to verify eligibility, administer a reward, maintain the Platform record and display the Contribution where the Customer has chosen to make it visible.
Merchant organic reposting, material editing, paid advertising or other commercial reuse must be covered by a separate clear permission presented to the Customer.
A Customer's refusal to grant optional advertising rights must not be represented as a negative review or used to falsify the Customer's actual opinion.
21Social-platform connections
BigPlan may permit you to connect third-party social accounts.
By connecting an account, you authorise BigPlan to access only the information and permissions presented through the relevant authorisation flow.
Social networks remain independent third parties. Their APIs, permissions, review decisions, rate limits, terms and functionality may change or become unavailable.
BigPlan does not guarantee continued support for any social platform.
You remain responsible for complying with the terms of the social platforms you use.
22Merchant CRM and marketing
BigPlan may enable a Customer to establish a relationship with a Merchant and may permit the Merchant to access Customer information where the Customer has provided the required permission.
Marketing consent must be obtained separately where required.
A Customer may opt out of marketing communications or withdraw applicable CRM permissions through the available controls.
Once a Merchant lawfully exports permitted Customer data, the Merchant becomes responsible for its own subsequent processing, security, retention, marketing and legal compliance.
BigPlan may suspend Merchant CRM/export capabilities where consent, legal authority or security requirements are not satisfied.
23Artificial-intelligence and media features
Where BigPlan provides AI or automated media features:
BigPlan may generate an Edit Plan or preview before executing a chargeable render or transformation.
The user remains responsible for confirming the requested output and possessing necessary rights to source materials.
BigPlan will not intentionally publish AI-generated or AI-edited content to a social platform without the user's confirmation.
Music must be supplied by the user with appropriate rights or originate from an authorised source.
BigPlan does not guarantee that AI outputs are unique, error-free or legally suitable for every use.
Unless otherwise disclosed for a specific feature, BigPlan's current product policy is that AI workspace source material, plans and generated outputs are retained for approximately seven days, and user materials are not used to train AI models.
24Prohibited conduct
You must not use BigPlan to commit fraud, impersonate another person, launder money, manipulate Campaign evidence, fabricate visits, manufacture reviews, manipulate rewards, falsify social metrics, circumvent verification, harass another user, distribute malware, scrape protected systems, violate intellectual property, publish unlawful material, evade sanctions or regulatory controls, or interfere with Platform security.
You must not condition a Customer reward on a positive review or predetermined opinion where such conduct is prohibited.
You must not use BigPlan messaging, Campaign introductions or Creator discovery primarily to evade amounts legitimately payable to BigPlan.
25Circumvention of BigPlan transactions
Where BigPlan introduces a Merchant and Creator or facilitates negotiation of a Campaign, those parties must not move the same or substantially related engagement off-platform for the purpose of avoiding agreed BigPlan fees, settlement controls or Campaign protections.
This restriction applies to the active Campaign and materially related continuation work arising directly from that BigPlan introduction for 12 months, unless BigPlan agrees otherwise.
It does not apply to a bona fide commercial relationship that existed independently before the BigPlan introduction and can reasonably be demonstrated.
26Third-party services
BigPlan relies on third parties including payment, hosting, identity, KYC, social-network, communications, analytics and AI providers.
BigPlan is not responsible for an independent third party's outage, policy decision, suspension or wrongful act beyond the responsibility imposed on BigPlan by applicable law.
Where a third party materially affects a paid BigPlan service, BigPlan will apply the relevant refund, credit, contingency or service rule.
27Taxes and reporting
Merchants and Creators are responsible for their own tax, accounting, invoicing, registration and reporting obligations unless BigPlan is legally required to collect, withhold or report an amount on their behalf.
BigPlan may request information reasonably necessary for tax, accounting, KYC or regulatory compliance.
28Suspension and termination
BigPlan may restrict or suspend features or accounts where reasonably necessary because of suspected fraud, security risk, unlawful conduct, material breach, Payment Provider instructions, chargebacks, identity failure, regulatory requirements or risk to users or the Platform.
Where reasonably practicable, BigPlan will provide notice and an opportunity to correct a remediable issue.
Termination does not erase rights or liabilities that arose before termination.
Active Campaigns, unsettled funds, disputes, refunds, audit evidence and legally required records may continue to be processed after account suspension or closure.
29Platform availability and changes
BigPlan may improve, replace, suspend or discontinue functionality.
Feature availability may differ by jurisdiction, user role, Merchant, Campaign, social platform, payment provider or verification status.
Where BigPlan permanently discontinues an undelivered paid service, BigPlan will provide an appropriate refund or credit where required by the applicable purchase terms or law.
BigPlan may use feature flags, limits and staged rollouts for security, legal, operational or product reasons.
30BigPlan intellectual property
The BigPlan name, platform, software, interface, systems, databases, workflows, branding, original graphics, documentation and other proprietary material belong to YES Production or its licensors.
Except as expressly permitted, you may not copy, reverse engineer, reproduce, commercially exploit, create derivative versions of, bypass technical protections around or scrape protected portions of the Platform.
Feedback voluntarily provided to BigPlan may be used by BigPlan without restriction or payment, provided that doing so does not grant BigPlan ownership of your confidential information or pre-existing intellectual property.
31Confidential information
Campaign briefs, unreleased products, private Merchant information, unreleased Creator work and other information reasonably identified as confidential must not be disclosed outside the purpose for which it was provided.
This obligation does not apply to information that is already public without breach, independently developed, lawfully obtained from another source or required to be disclosed by law.
32Disclaimer of warranties
To the maximum extent permitted by law, BigPlan is provided on an “as available” basis.
BigPlan does not warrant uninterrupted operation, universal compatibility with social platforms, guaranteed Campaign success, guaranteed creator availability, guaranteed reward qualification or guaranteed commercial outcomes.
Nothing in this clause excludes statutory guarantees or rights that Malaysian law does not permit BigPlan to exclude.
33Limitation of liability
To the maximum extent permitted by applicable law, YES Production and its officers, partners, employees and contractors will not be liable for indirect, incidental, special, exemplary or consequential loss, loss of anticipated profits, loss of opportunity, reputational loss or loss caused by the independent conduct of another Platform user or third-party provider.
Where liability may lawfully be limited, BigPlan's aggregate liability arising from a claim will not exceed the greater of:
(a) the BigPlan fees actually paid by the claimant during the twelve months preceding the event giving rise to the claim; or (b) RM500.
This limitation does not apply where liability cannot lawfully be excluded or limited, including rights available to consumers under mandatory Malaysian law.
34Indemnity
To the extent permitted by law, a Merchant or Creator will indemnify YES Production against third-party claims, losses, penalties and reasonable costs arising from that user's unlawful content, misleading advertising, infringement of intellectual-property or personality rights, unauthorised commercial claims, breach of data-protection obligations, tax failures, misuse of Customer information, violation of a Campaign licence or intentional breach of these Terms.
Customers are responsible for losses caused by fraudulent or deliberate misuse of the Platform.
This clause does not require a user to indemnify BigPlan for BigPlan's own unlawful conduct.
35Complaints
BigPlan will provide a channel through which users can submit complaints concerning Platform transactions, users, Campaigns, privacy, payments or other matters.
BigPlan may require reasonable supporting evidence.
Nothing in BigPlan's internal complaint or dispute process prevents a consumer from exercising any right available under applicable Malaysian consumer law, including access to the Tribunal for Consumer Claims where applicable.
36Electronic contracting and notices
You agree that contracts, Campaign confirmations, notices, records and other communications may be created and delivered electronically.
Your click, confirmation, electronic acceptance or other affirmative action recorded by BigPlan may constitute evidence of your agreement.
BigPlan may retain acceptance records including the user identity, role, document version, Campaign version, timestamp, IP address, device/user-agent information and acceptance context.
37Changes to these Terms
BigPlan may amend these Terms.
Changes will apply prospectively from the effective date stated in the updated Terms.
Where a change materially affects an existing paid right or obligation, BigPlan will provide reasonable notice and may require renewed acceptance.
A later version will not retroactively alter a completed Campaign's frozen commercial terms unless the parties agree or the change is legally required.
38Order of precedence
For matters concerning a specific transaction, the following order applies unless mandatory law requires otherwise:
Campaign Contract Snapshot → applicable purchase/order terms → these Terms → general marketing or informational material.
The Privacy Policy governs the handling of personal data.
39Governing law
These Terms are governed by the laws of Malaysia.
Subject to any mandatory consumer or statutory forum, disputes with YES Production that cannot be resolved through the applicable internal process will be subject to the jurisdiction of the Malaysian courts.
Nothing in these Terms removes a right that cannot legally be waived.
40General
If any provision is held unenforceable, the remaining provisions remain effective.
A failure by BigPlan to enforce a provision on one occasion is not a waiver.
You may not assign your contractual rights or obligations without BigPlan's written consent. YES Production may assign these Terms to a successor, affiliate or purchaser of the BigPlan business, subject to applicable law and privacy obligations.
Events reasonably outside BigPlan's control, including infrastructure outages, provider failures, government measures, natural disasters and widespread network interruptions, may excuse delayed performance to the extent caused by those events.
These Terms and the applicable transaction-specific documents constitute the agreement concerning use of BigPlan.
